Ezionic provides custom software development, web and mobile application development, cloud solutions, and related services. Specific services will be defined in individual project agreements or statements of work.

4.2 Project Scope

Each project will have a defined scope, timeline, and deliverables as agreed upon in writing. Changes to the scope may result in additional fees and timeline adjustments.

4.3 Client Responsibilities

Clients agree to:

• Provide timely feedback and approvals
• Supply necessary materials and information
• Maintain clear communication throughout the project
• Comply with payment terms

Late payments may result in project suspension and may incur late fees. We reserve the right to suspend or terminate services for non-payment.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. We will correct any defects in deliverables for a specified warranty period as outlined in your project agreement.

6.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Section 07

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZIONIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Indemnification

You agree to indemnify, defend, and hold harmless Ezionic and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of our Services, your violation of these Terms, or your violation of any rights of another party.

Section 09

Termination

9.1 Termination by Either Party

Either party may terminate a project agreement with written notice as specified in the agreement. Termination fees and payment for work completed will apply as outlined in your project agreement.

9.2 Termination for Cause

We may terminate or suspend your access to our Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Section 10

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the project. This obligation survives the termination of our agreement.

Confidential information does not include information that: (a) is or becomes publicly available, (b) was rightfully possessed prior to disclosure, (c) is independently developed, or (d) is rightfully obtained from a third party.

Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from these Terms or your use of our Services shall first be resolved through good faith negotiation. If negotiations fail, disputes shall be resolved through binding arbitration in San Francisco, California.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

These Terms constitute the entire agreement between you and Ezionic regarding the use of our Services.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
